1. Agreement to Terms

By accessing or using agiletech.pro (the “Site”) and any services offered by Agile Technology LLC (“Agile Technology,” “we,” “our,” “us”), you agree to be bound by these Terms & Conditions (“Terms”). If you do not agree, do not use the Site.

2. Services & Content

The Site displays information about our managed IT, web design, AI integration, and related services (collectively, “Services”). Any proposal or quote issued through the Site is an invitation to negotiate, not a binding contract.

3. Eligibility & User Obligations

You must be at least 18 years old and have authority to enter into contracts on behalf of yourself or your organization. You agree to provide accurate information, comply with applicable laws, and not misuse the Site.

4. Quotes, Orders & Payment

  • Quotes are valid for 30 days unless stated otherwise.
  • Work begins only after written acceptance, scope confirmation, and any required deposit.
  • Invoices are due net 15 unless we agree otherwise; late payments may incur 1.5 % interest per month.

5. Intellectual Property

All Site content, trademarks, graphics, code, and documentation are the property of Agile Technology or its licensors and are protected by U.S. and international laws. You may not copy, modify, or distribute any content without prior written consent.

6. Prohibited Uses

  • Reverse‑engineering or attempting to access the Site’s source code.
  • Using the Site to transmit malware, spam, or unlawful material.
  • Interfering with or disrupting Site security or functionality.

7. Third‑Party Links

The Site may link to third‑party sites. We are not responsible for their content, privacy practices, or services.

8. Disclaimer of Warranties

The Site and Services are provided “as is” and “as available.” We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non‑infringement. We do not guarantee uninterrupted or error‑free operation.

9. Limitation of Liability

To the maximum extent permitted by law, Agile Technology will not be liable for indirect, incidental, special, consequential, or punitive damages, or lost profits, even if advised of the possibility. Our total liability for any claim will not exceed USD 500 or the amount you paid us for Services in the 12 months preceding the claim, whichever is greater.

10. Indemnification

You agree to defend, indemnify, and hold harmless Agile Technology, its officers, employees, and agents from any claims, damages, or expenses arising out of your use of the Site or breach of these Terms.

11. Governing Law & Venue

These Terms and any disputes are governed by the laws of the State of Texas, excluding its conflict‑of‑law rules. You consent to exclusive jurisdiction and venue in the state or federal courts located in **TODO – county, Texas**.

12. Changes to Terms

We may update these Terms at any time. Continued use of the Site after changes constitutes acceptance. The “Last updated” date reflects the most recent revision.

13. Severability

If any provision of these Terms is held invalid, the remaining provisions will remain in force.
